Terms & Conditions
These terms govern use of the SGMADA website and clarify how B2B inquiries, quotations, technical submissions, and written commercial agreements are handled.
Effective date: August 30, 2026
Last updated: August 30, 2026
1. Scope and Business Use
These Terms & Conditions (“Terms”) govern access to and use of www.doncenmotor.com, operated by Ningbo ShengGuang Motor Co., Ltd. (“SGMADA,” “we,” “us,” or “our”), including B2B inquiries, requests for quotations, sample requests, and technical communications submitted through the website.
This website is intended for business and professional users. It does not provide customer registration, consumer checkout, or online ordering. If you contact us on behalf of a company or other organization, you represent that you are authorized to provide the submitted information and communicate on its behalf. Any rights that cannot lawfully be excluded remain unaffected.
2. Website Information and Product Specifications
Website content, including product descriptions, specifications, drawings, dimensions, performance data, images, availability, and application examples, is provided for general reference and preliminary evaluation. It is not an offer, warranty, or binding technical commitment.
Products may be revised as part of ongoing engineering and production improvement. Before designing a product into your equipment or making a purchasing decision, request and confirm the current specification, drawing, sample, and applicable validation requirements with SGMADA. Changes to general website information do not amend a previously confirmed order or signed agreement.
3. Inquiries, Quotations, and Contract Formation
Submitting an inquiry, RFQ, sample request, drawing, or application requirement does not create a contract, place an order, reserve production capacity, or require either party to proceed.
A commercial transaction becomes binding only through mutually accepted written documents, such as an accepted quotation, pro forma invoice, written order confirmation, technical agreement, or signed contract. The applicable document will state or incorporate the agreed product, specification, price, currency, taxes, minimum order quantity, payment terms, tooling or sample charges, lead time, delivery term, warranty, and other commercial conditions.
If a signed contract, technical agreement, order confirmation, or quotation conflicts with these website Terms, the transaction-specific written document takes priority for that transaction.
4. Customer Submissions and Technical Materials
You are responsible for ensuring that information, specifications, drawings, files, and other materials you submit are accurate, lawful, and provided with the necessary authority. Do not send malicious code, unlawful content, unnecessary personal information, or third-party confidential material that you are not permitted to disclose.
You retain ownership of rights you already hold in submitted materials. You grant SGMADA a limited right to use, reproduce, review, and share those materials internally and with relevant service providers only as reasonably necessary to evaluate your request, prepare a quotation, develop or validate a solution, and perform an agreed project.
We will use reasonable care when handling non-public project information. If the parties sign a separate non-disclosure agreement, that agreement controls the treatment of confidential information within its scope.
5. Intellectual Property
Unless otherwise stated, the website and its text, photographs, graphics, logos, layouts, product documentation, and other content are owned by or licensed to SGMADA and are protected by applicable intellectual property laws.
You may view, download, and print reasonable portions for internal business evaluation. You may not republish, commercially redistribute, sell, sublicense, remove rights notices from, or systematically copy website content without our prior written permission. Product-specific intellectual property, tooling, drawings, and development results are governed by the applicable quotation, technical agreement, or contract.
6. Acceptable Use
You must not use the website to violate law or third-party rights; interfere with security or operation; introduce malware; attempt unauthorized access; scrape or extract content at a disruptive scale; impersonate another person or organization; or submit fraudulent or misleading inquiries.
7. Third-Party Links
The website may link to third-party websites, platforms, or tools for convenience. SGMADA does not control their content, availability, security, or privacy practices and is not responsible for them. Your use of a third-party service is governed by that provider’s terms.
8. Website Availability and Disclaimer
We aim to keep the website accurate and available, but it is provided on an “as available” basis. To the extent permitted by law, we do not guarantee uninterrupted access or that all website content is complete, current, or error-free. This disclaimer does not limit any express commitment contained in a mutually accepted quotation, order confirmation, technical agreement, or signed contract.
9. Limitation of Liability
To the extent permitted by applicable law, SGMADA is not liable for indirect, incidental, special, or consequential loss arising solely from use of, inability to use, or reliance on this website. Liability relating to samples, products, delivery, performance, warranty, or a commercial transaction is governed by the applicable written contract documents.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence, or death or personal injury where applicable law prohibits such limitation.
10. Website Interruptions and Force Majeure
We are not responsible for website delay, interruption, or unavailability caused by events beyond our reasonable control, including network failures, utility outages, cyber incidents, natural disasters, government action, labor disruption, or failures of third-party infrastructure. Force-majeure rights for a commercial transaction are governed by the relevant written agreement.
11. Export and Trade Compliance
You must not use the website, technical information, or products obtained through SGMADA in violation of applicable export control, sanctions, customs, or trade laws. We may decline an inquiry or transaction where reasonably necessary to meet legal or compliance obligations.
12. Privacy
Our collection and handling of personal information submitted through the website are described in the Privacy Policy, which should be read together with these Terms.
13. Governing Law and Jurisdiction
These Terms and non-contractual disputes arising from use of the website are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules. Subject to any mandatory law or different dispute-resolution clause in a signed agreement, disputes shall be submitted to the competent courts of Ningbo, Zhejiang Province, China.
14. Changes to These Terms
We may update these Terms to reflect changes in the website, our practices, or applicable law. The revised version will be posted on this page with a new “Last updated” date and will apply from its stated effective date. An update to these website Terms does not retroactively change a previously confirmed order or signed agreement.
